This Bylaws was approved by the founders is the
“CONSTITUTION” of the WORLD ROMANIAN CONGRESS
and shall be not changed in contents and spirit.

= BYLAWS =

Capitolul I. GENERAL INFORMATION

1.1. The World Romanian Congress is incorporated as a non-profit organization in California and is organized and acts under Californian Law on federative basis, every affiliated member holding his legal personality and independence.
1.2. The goals and purpose of the World Romanian Congress are to advance its causes, promote its interests, and to facilitate mutual assistance among its members.

Capitolul II. PRINCIPLES

The guiding principles of the World Romanian Congress are as follows:
2.1. The Christian ethics based on love and reconciliation among peers.
2.2. Respect for the civil rights in the national and united Romanian state, without any ethnic discrimination or civic compensatory actions.
2.3. Equal rights and responsibilities for all the Romanian citizens towards the Romanian society regardless of their nationality, religion or place of residence.
2.4. To maintain total independence from and strict neutrality towards all political parties.
a) The Organization shall not support the political Parties or political Movements, or their candidates for public Offices in USA, Romania or other countries excepting the cases when they run against the anti-Romanian and extremists forces.
b) The Organization shall reject any contacts with the communist Parties, with any Party promoting a totalitarian ideology, and with the religious or ethnic extremist organizations.
2.5. To maintain total independence in the decision-making process and in actions taken in dealing with any governments or international organizations.

Chapter III. GOALS AND ACTIONS

3.1. The World Romanian Congress strictly promotes religious freedom of all denominations as long as they do not inflict moral or any other sort of damage on the members of the Romanian community or on the countries they live in.
3.2. The World Romanian Congress encourages all the Romanian cultural manifestations designed to preserve the Romanian national conscience and spiritual values.
3.3. The World Romanian Congress initiates contacts and cooperation with cultural and civic Romanian organizations in Romania, Basarabia, as well as in all the Romanian communities around the World.
3.4. The World Romanian Congress supports, promotes, and watches how the rights of the Romanians living in Diaspora or in countries bordering Romania are respected.
3.5. The World Romanian Congress supports the democratic institutions in all territories inhabited by Romanians by initiating and maintaining permanent contacts with these institutions, as well as involving them in mutual initiatives and actions, especially those regarding the spiritual and economic integration.
3.6. The World Romanian Congress condemns any attempt made by any person, pressure-exerting groups or political, civil, ethnic or religious organizations, to involve foreign governments or international organizations in solving Romania’s domestic conflicts, other than the ones dealing with human rights abuses or crimes against humanity.
3.7. In accordance with the laws of the United States, on whose territory is functioning, World Romanian Congress works with other organizations towards supporting Romania diplomatically and economically.

Chapter IV. ORGANIZATION

4.1. MEMBERS
4.1.1. Membership Categories
a) Incorporated representative Romanian Associations or Organizations.
b) Any non-incorporated group of Romanian persons.
c) The founders (members for life) and any internationally recognized Romanian personality.
d) Sympathizing Members - Independent groups or persons of non-Romanian ethnicity.
4.1.2. Rights and Obligations
a) To accept and to comply with the Bylaws, and to comply the decisions of the organization.
b) To participate in the meetings of the General Assembly.
c) To vote and to run for any position (accordingly to the current Law). (Not the Sympathizing members).
d) To receive the Organization support when she/he runs for a public Office (Government or International Organization) only if:
  • She/he represents the Principles, Goals and National Agenda of the World Romanian Congress.
  • She/he is nominated by an internal election.

    4.2. The GENERAL ASSEMBLY
    4.2.1. The General Assembly is the supreme forum of the World Romanian Congress.
    4.2.2. The General Assembly meets in ordinary sessions (Conference-annually, Congress every four years) and extraordinary as it's called by Quorum.
    Note:
  • The QUORUM is 35% from the registered members of the World Romanian Congress.
    4.2.3. The vote of the General Assembly, by direct ballots or absentee ballots, is considered to be valid if it meets the required 51% of Quorum or 75% of Quorum when the Organization is called for disolution.
    4.2.4.The Officers are elected or confirmed through secret vote of the General Assembly, in respect to the current Law of the United States and the State of California at the moment of election. They must be Romanian descendants, speak Romanian and have Romanian citizenship.
  • By the “ Statement of Information for State of California” Form SI-100, the Chief Executive Officer (CEO) holds the office of the President, the Secretary is the Secretary General, and the Treasurer is the Chief Financial Officer (CFO).
  • By the Corporation Code sections 5213 or 9213”, neither the President nor the Secretary General may serve concurrently as Chief Financial Officer.
  • The Officers must be re-approved or replaced by vote in the General Assembly every two years, but before March 15, when the “Status of Information” – Form SI-100 must be re-submitted to the Secretary of State of California for continuing the legal activity.
  • In 60 days after appointment he or she must resign from any leadership position of any other organization.
    4.2.5. The General Assembly approves or dismisses the members of the Board of Directors.
  • To assure the best selection for a position, the candidacy or election of a person is not limited for any function in Organization.
    4.2.6. The General Assembly ratifies or annuls the Board of Directors decisions regarding the suspension of the Officers calling for new elections.
    4.2.7. The General Assembly approves the Presidential Report, new Amendments and Annexes to be added to Bylaws, the Financial Report, the Budget, and the Plan of Activities for the next year.
    4.2.8. The General Assembly ratifies or annuls the conventions signed by the President or Board of Directors' decisions regarding the convention or association with other organizations.

    4.3. The BOARD of DIRECTORS
    4.3.1. The Board of Directors is the Decision and Control body of the World Romanian Congress.
    4.3.2. The Board of Directors is made up of the President, Secretary General, Directors of Departments, Representatives of WRC Branches and Affiliated Incorporated Organizations (incorporation must be documented and updated).
    4.3.3. The Board of Directors acts and takes decisions as per majority vote of Quorum (35% of total members of the Board of Directors).
  • In case of a tie vote, the President may take the definitive decision.
  • The President cannot vote when decisions are taken regarding the financial expenses.
    4.3.4. The Board of Directors approves or dismisses individually, the members of the Executive Committee, proposed by President.
  • The Executive Committee is the operative form of the World Romanian Congress.
  • The Executive Committee works under President’s supervision to accomplish the current tasks resulting from the policy and decisions established by the Board of Directors.
    4.3.5. The Powers of the Board of Directors:
    a) Decides upon the establishment of Departments.
    b) Decides upon extra expenses on exceptional events or necessities.
    c) Decides the Budget to be presented to General Assembly for approval.
    d) Checks the activity of the President and of the Executive Committee.
    e) Decides upon affiliation and conditions of its affiliation to another organization.
    f) May decide the suspension and temporary replacement of any member of the Board of Directors as is stipulated in the Annex approved by the General Assembly.
    4.3.6. The members of the Board of Directors represent the organization in its relationships with other civic organizations or those of the state authority as prescribed in their specific attributions.

    4.4. The PRESIDENT (CEO)
    4.4.1.The President represents the World Romanian Congress and is empowered to sign the documents representing the official position or involvement of the World Romanian Congress with other associations, organizations or government and international agencies.
    4.4.2. The President establishes the organization strategies and guidelines that must be reviewed by the Board of Directors. They can approve or they can re-submit to the President for reviewing and updating with the Board of Directors’ proposals.
    4.4.3. The President appoints representatives to the governmental or international authorities after consulting the Board of Directors.
    4.4.4. The President presents to the General Assembly the Annual Report, the Activity Plan, and any Amendment to Bylaws.
    4.4.5. The President is not allowed to sign any financial documents as well as is not allowed to be involved in any financial transaction regarding the World Romanian Congress.
    4.4.6. The President leads the Executive Committee and chairs over the Board of Director meetings.

    4.5. SECRETARY GENERAL
    4.5.1. The Secretary General carries out the decision of the Board of Directors.
    4.5.2. The Secretary provides the logistic activities having the following main duties:
    a) To maintain the members database.
    b) To prepare and organize the General Assembly, symposiums, conferences, meetings.
    c) To receive, transmit and keep the evidence of the external correspondence and documents.
    d) To transmit official documents and communiqués.
    e) To maintain the Organization WEB site.

    4.6. CHIEF FINANCIAL OFFICER (CFO)
    4.6.1. The CFO caries the financial duties of the Organization and supervises cash management activities.
    4.6.2. The CFO presents the annual financial report and the proposed Budget for the next year to the General Assembly.
    4.6.3. The detailed attributions of the CFO are described in the Annex approved by the General Assembly.

    4.7. The INDEPENDENT COMMITTEE for ETHICS
    This is a group of independent members approved and empowered by the General Assembly to judge all complains and disputes between the organization departments or between members in respect to the Bylaws and the Law in the United States and the State of California.

    Capitolul V. FINAL DECISIONS

    5.1. The future social, cultural or political events could be a source only for improvement or updating by amendments approved by the General Assembly.
    5.2. The Amendments and Annexes appoved by the General Assembly become parts of the Bylaws.
    5.3. The official distinctive signs of WORLD ROMANIAN CONGRESS are:
  • LOGO on all stationeries and official documents
  • The SEAL on the official documents signed by President.
  • The President’s Signature on all official documents.

    care nu va fi schimbată nici în conţinut, nici în spirit.

    CONGRESUL MONDIAL ROMÂN
    = STATUT =

    Capitolul I. INFORMAŢII GENERALE

    1.1. Congresul Mondial Român, încorporat în California sub a cărei jurisdicţie este organizat şi îşi desfăşoară activitatea, este o organizaţie non-profit constituită pe baze federative, fiecare membru afiliat păstrându-şi personalitatea juridică şi independenţa.
    1.2. Scopurile şi ratiunea de a fi a Congresului Mondial Român o constituie promovarea intereselor şi ajutorarea mutuală dintre membrii societăţii româneşti globale.

    Capitolul II. PRINCIPII

    Principiile călăuzitoare ale Congresului Mondial Român sunt următoarele:
    2.1. Morala creştină bazată pe dragostea şi buna convieţuire între oameni
    2.2. Respectarea drepturilor cetăţeneşti în statul naţional şi unitar România fără discriminări sau compensaţii pe criterii etnice.
    2.3. Egalitatea în drepturi şi responsabilităţi pentru toţi cetăţenii români în cadrul societăţii româneşti indiferent de naţionalitate, religie sau loc de reşedinţă.
    2.4. Menţinerea independenţei totale şi a strictei neutralităţi faţă de toate partidele politice:
    a) Organizaţia nu-şi va exprima sprijinul pentru partidele sau mişcările politice şi nici pentru candidaţii acestora pentru funcţii publice în USA, Romania sau oricare alte ţări, decât dacă candidează împotriva forţelor anti-româneşti şi extremiste.
    b) Organizaţia respinge orice contacte cu partidele comuniste sau cu partidele promovând ideologii totalitare precum şi cu organizaţiile extremist religioase sau extremist etnice.
    2.5. Menţinerea independenţei totale în luarea deciziilor şi desfăşurării acţiunilor în relaţiile cu orice organisme guvernamentale sau internaţionale.

    Capitolul III. SCOPURI

    3.1. Congresul Mondial Român promovează libertatea religioasă a tuturor denominaţiilor atâta timp cât acestea nu intră în conflict cu morala sau nu cauzează prejudicii membrilor comunităţilor româneşti din ţările în care aceştia locuiesc.
    3.2. Congresul Mondial Român încurajează toate manifestările culturale româneşti destinate conservării conştiinţei naţionale româneşti şi a valorilor spirituale şi morale ale poporului român.
    3.3. Congresul Mondial Român iniţiază contacte şi cooperează cu organizaţiile culturale şi civice din România, Basarabia precum şi din toate comunităţile româneşti din întreaga lume.
    3.4. Congresul Mondial Român sprijină, promovează şi monitorizează respectarea drepturilor românilor care locuiesc în diasporă, cu precădere a celor care locuiesc în ţările limitrofe României.
    3.5. Congresul Mondial Român sprijină instituţiile democratice din teritoriile locuite de români prin iniţierea şi menţinerea contactelor permanente cu aceste instituţii, precum şi prin implicarea lor în iniţiative şi acţiuni privind mai ales integrarea spirituala şi progresul economic al comunităţilor româneşti.
    3.6. Congresul Mondial Român condamnă orice încercare a persoanelor, grupurilor de presiune sau organizaţiilor politice, civile, etnice sau religioase de a implica guverne străine sau organizaţii internaţionale în intervenţii sau în arbitrarea conflictelor interne ale României, altele decât cele care privesc abuzurile împotriva drepturilor omului sau crimele împotriva umanităţii.
    3.7. În conformitate cu legile Statelor Unite, pe teritoriul cărora îşi desfăşoară activitatea, Congresul Mondial Român conlucrează cu alte organizaţii pentru a sprijini România din punct de vedere diplomatic şi economic.

    Capitolul IV. STRUCTURA ORGANIZATORICĂ

    4.1. MEMBRI
    4.1.1. Categorii de Membri
    a) Asociaţii şi Organizaţii româneşti reprezentative legal constituite.
    b) Orice grup de persoane associate fără personalitate juridică.
    c) Membri fondatori (pe viaţă) sau personalităţi române recunoscute internaţional.
    d) Simpatizanţi - personalităţi sau grupuri de altă naţionalitate decât cea română.
    4.1.2. Drepturi şi Obligaţii
    a) Să accepte şi să respecte Statutul şi să respecte deciziile organizaţiei.
    b) Să participe la şedinţele Adunării Generale.
    c) Să voteze şi să candideze pentru orice funcţie (conform legislaţiilor curente). Membrii Simpatizanţi nu au drept de vot.
    d) Să primească sprijinul organizaţiei în candidatura pentru funcţii guvernamentale sau pentru organisme internaţionale numai dacă:
  • Reprezintăe principiile, scopurile şi agenda naţională a Congresului Mondial Român.
  • Este desemnat pe baza unui selecţii interne.

    4.2. ADUNAREA GENERALĂ
    4.2.1. Adunarea Generală este forma supremă de decizie a Congresului Mondial Român.
    4.2.2. Adunarea Generală se întruneşte în sesiuni ordinare (Conferinţa –anual, Congres – la patru ani) şi extraordinare prin decizia Quorumului.
    Notă:
  • QUORUMUL reprezintă 35% dintre membrii Congresului Mondial Român.
    4.2.3. Votul Adunării Generale, direct sau prin corespondenţă, este valid dacă întruneşte 51% din Quorum sau 75% din Quorum în cazul votării propunerii de dizolvare a Congresului Mondial Român.
    4.2.4. Oficialii organizaţiei sunt aleşi sau confirmaţi prin vot secret de Adunarea Generală în condiţiile legislaţiei Statelor Unite şi ale Statului California aflate în vigoare la data votării. Ei trebuie să aibă descendenţă română, să vorbească limbă română şi să aibă cetăţenia română.
  • În conformitate cu “Statement of Information for State of California” Form SI-100, funcţia de Chief Executive (CEO) se identifică prin aceea de Preşedinte, Secretar prin Secretar General şi Treasurer prin prin CFO sau Director Financiar.
  • În conformitate cu “Corporation Code Sections 5213 sau 9213”, nici Preşedintele, nici Secretarul General nu pot ocupa concomitent şi funcţia de Director Financiar.
  • Oficialii sunt reconfirmaţi sau schimbaţi prin votul Adunării Generale la fiecare doi ani, dar inainte de 15 Martie,când trebuie reînoit “Statement of Information”- Forma SI-100, prin care Organizaţiei i se prelungeşte dreptul de funcţionare legal.
  • La 60 de zile dela numire un Oficial trebuie să renunţe la oricare funcţie de conducere din oricare altă organizaţie.
    4.2.5. Adunarea Generală îi confirmă sau respinge pe membrii Biroului Director.
  • Pentru a asigura cea mai bună selecţie pentru o poziţie, candidatura sau alegerea unei persoane nu este limitată pentru nicio funcţie in Organizaţie.
    4.2.6. Adunarea Generală ratifică sau anulează deciziile Biroului Director privind suspendarea Ofiţerilor şi convoacă noi alegeri.
    4.2.7. Adunarea Generală aprobă Raportul de Activitate, noi Amendamente sau Anexe adăugate Statutului, Raportul Financiar, Bugetul şi Rezoluţia finală a Adunării.
    4.2.8. Adunarea Generală ratifică sau anulează convenţiile semnate de Preşedinte sau deciziile Biroului Director privind asocierile cu alte organizaţii.

    4.3. BIROUL DIRECTOR
    4.3.1. Biroul Director este organul colectiv de Decizie şi Control al Congresului Mondial Român.
    4.3.2. Biroul Director este compus din Preşedinte, Secretar General, Directorii Departamentelor şi Reprezentanţii de drept ai Filialelor şi organizaţiilor membre (legal constituite, cu documente de înregistrare actualizate).
    4.3.3. Deciziile Biroului Director se iau cu majoritatea simplă de voturi a Quoarumului Biroului (35% din numărul membrilor Biroului).
  • În caz de egalitate, Preşedintele poate lua decizia finală.
  • Preşedintele nu poate vota când sunt luate decizii privind cheltuielile financiare.
    4.3.4. Biroul Director îi aprobă sau îi respinge individual pe membrii Comitetul Executiv propuşi de Preşedinte.
  • Comitetul Executiv este Organul Operativ al Congresului Mondial Român.
  • Comitetul Executiv lucrează sub directa conducere a Preşedintelui pentru desfăşurarea activităţilor curente în conformitate cu politica şi deciziile stabilite de Biroul Director.
    4.3.5. Competenţele Biroului Director sunt:
    a) Decide stabilirea unor Departamentelor.
    b) Decide asupra cheltuielilor suplimentare în cazul unor evenimente deosebite sau necesităţi urgente.
    c) Decide Bugetul care va fi prezentat pentru aprobare Adunării Generale.
    d) Verifică periodic şi aprobă activitatea Preşedintelui şi a Comitetului Executiv.
    e) Decide afilierea şi condiţiile de afiliere la altă organizaţie.
    f) Poate decide suspendarea oricărui membru al Biroului Director şi înlocuirea lui temporară în condiţiile stipulate în Anexa aprobată de Adunarea Generală.
    4.3.6. Membrii Biroului Director reprezintă organizaţia în relaţiile cu alte organizaţii civice sau cu cele ale autorităţii Statului pe baza unor atribuţii specificate aprobate de Biroul Director.

    4.4. PREŞEDINTELE (CEO)
    4.4.1. Preşedintele reprezintă Congresul Mondial Român şi este împuternicit să semneze documentele reprezentând poziţia oficială sau implicarea Congresului Mondial Român în relaţiile sale cu alte organizaţii, asociaţii sau organisme guvernamentale sau internaţionale.
    4.4.2. Preşedintele stabileşte strategia şi liniile directoare ale organizaţiei pe care le va supune discuţiei Biroului Director. Acesta le aprobă sau le remite Preşedintelui pentru reformulare şi completare cu propunerile Biroului Director.
    4.4.3. Preşedintele numeşte reprezentanţi pe lîngă autorităţile guvernamentale sau internationale după consultarea Biroului Director.
    4.4.4. Preşedintele prezintă Adunării Generale Raportul de activitate, proiectul Rezoluţiei si eventualele proiecte de amendamente la Statut.
    4.4.5. Preşedintele nu are dreptul să semneze niciun document financiar şi nici nu se poate implica în vreo tranzacţie financiară privind Congresul Mondial Român.
    4.4.6. Preşedintele conduce Comitetul Executiv şi prezidează şedinţele Biroului Director.

    4.5. SECRETARUL GENERAL
    4.5.1. Secretarul General transmite şi urmăreşte executarea deciziilor Biroului Director.
    4.5.2. Secretarul General asigură logistica necesară desfăşurării activităţilor.
    a) Menţine şi actualizează baza de date a membrilor.
    b) Pregăteşte şi organizează Adunarea Generală, simpozioane, conferiţe, întruniri.
    c) Primeşte, transmite şi păstrează evidenţa corespondenţei şi a documentelor oficiale.
    d) Transmite documentele oficiale şi comunicatele.
    e) Întreţine pagina WEB a Organizaţiei.

    4.6. CFO sau DIRECTOR FINANCIAR (CFO)
    4.6.1. Directorul Financiar se ocupă de problemele financiare ale organizaţiei şi controlează activitatea casierilor.
    4.6.2. Directorul Financiar prezintă Raportul Financiar Anual şi propune viitorul Buget Adunării Generale.
    4.6.3. Atribuţiile şi îndatoririle Directorului Financiar (CFO) vor fi detaliate in Anexa aprobată de Adunarea Generala.

    4.7. COMITETUL INDEPENDENT pentru ETICĂ
    Acesta este un grup independent de membri de prestigiu ai comunităţii româneşti, aprobaţi şi împuterniciţi de Adunarea Generală să judece toate contestaţiile şi disputele dintre Departamente sau dintre membri, în conformitate cu Statutul şi cu legile Statelor Unite.

    Capitolul V. DECIZII FINALE

    5.1. Viitoarele evenimente sociale, culturale sau politice pot doar să fie surse de îmbunătăţiri şi actualizări prin amendamente aprobate de Adunarea Generală.
    5.2. Amendamentele si Anexele aprobate prin votul Adunării Generale devin parte a Statutului.
    5.3. Însemnele oficiale distinctive ale CONGRESULUI MONDIAL ROMÂN sunt:
  • LOGO (EMBLEMA) pe toate documentele oficiale.
  • ŞTAMPILA pe toate documentele oficiale semnate de Preşedinte.
  • SEMNĂTURA Preşedintelui pe toate documentele oficiale.
